Terms of Service

1. Agreement
These Terms of Service ("Terms") govern your access to and use of the website at trialphasolutions.com (the "Site") and any consulting, design, or software engineering services provided by TriAlpha Solutions ("TriAlpha," "we," "us," or "our").
By using the Site or engaging us for services, you agree to these Terms. If you are accepting on behalf of a company, you represent that you have authority to bind that company.
2. Services
TriAlpha provides custom web, mobile, AI, cloud, and related engineering services. Specific deliverables, timelines, fees, and acceptance criteria are defined in a written proposal, statement of work, or order form (each a "SOW"). If a SOW conflicts with these Terms, the SOW controls for that engagement.
3. Client responsibilities
You agree to:
- Provide timely access to people, systems, content, and credentials needed for the work
- Make decisions and provide feedback within agreed turnaround windows
- Ensure you have rights to materials you supply (brand assets, data, copy, code)
- Pay invoices according to the schedule in the applicable SOW
Delays or missing inputs may extend timelines and, where material, may adjust fees by written change order.
4. Fees and payment
Fees are set out in each SOW. Unless stated otherwise, invoices are due within the period specified on the invoice. Late amounts may accrue reasonable late fees and we may pause work until the account is current. See our Pricing page for engagement models and our Refund Policy for cancellation and refund terms.
5. Intellectual property
Pre-existing materials
Each party retains ownership of materials it owned before the engagement, including TriAlpha frameworks, tools, libraries, and know-how.
Work product
Upon full payment of fees due for a deliverable, TriAlpha assigns to you the rights in custom work product created specifically for you under that SOW, excluding TriAlpha pre-existing materials and third-party components. TriAlpha grants you a non-exclusive license to use any TriAlpha pre-existing materials embedded in the deliverables solely as part of those deliverables.
Third-party and open source
Deliverables may include third-party or open-source software subject to their own licenses. Those licenses govern your use of those components.
6. Confidentiality
Each party will protect the other's confidential information with reasonable care and use it only to perform the engagement. Confidentiality obligations do not apply to information that is public, independently developed, or rightfully received from another source without duty of confidentiality.
7. Warranties and disclaimers
We will perform services in a professional and workmanlike manner. Except as expressly stated in a SOW, the Site and services are provided "as is" without warranties of any kind, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
8. Limitation of liability
To the maximum extent permitted by law, TriAlpha's total liability arising out of or related to these Terms or any SOW will not exceed the fees paid by you to TriAlpha under the applicable SOW in the twelve (12) months before the claim. TriAlpha is not liable for indirect, incidental, special, consequential, or punitive damages, or lost profits, revenue, or data, even if advised of the possibility.
9. Website use
You may use the Site for lawful purposes only. You may not attempt to disrupt, scrape at abusive scale, reverse engineer, or misuse the Site or our systems. We may update or discontinue Site features at any time.
10. Termination
Either party may terminate an engagement as set out in the SOW, or for material breach if not cured within a reasonable period after written notice. Provisions that by nature should survive (including IP assignment for paid work, confidentiality, limitation of liability, and payment obligations) will survive termination.
11. Changes
We may update these Terms by posting a revised version on the Site with a new "Last updated" date. Continued use of the Site after changes constitute acceptance. Material changes to an active SOW require mutual written agreement.
